Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Opshiva platform and related services provided by AR Village Technologies Private Limited ("Opshiva", "we", "us", or "our").
By accessing or using Opshiva, you agree to be bound by these Terms. If you are using Opshiva on behalf of an organization, you represent that you have authority to accept these Terms on behalf of that organization.
If you do not agree with these Terms, you must not use the Services.
1. About Opshiva
Opshiva is an AI-powered service and support operations platform that may provide capabilities including:
- AI voice agents
- Customer support automation
- WhatsApp and communication automation
- Ticket and complaint management
- Knowledge management
- AI-powered workflows
- Service and after-sales automation
- Grievance management
- Analytics and reporting
- AI agent orchestration
- Business process automation
- Third-party integrations
The features available to you depend on your subscription, account configuration, plan, and applicable agreement.
2. Eligibility and Account
You must provide accurate and complete information when creating an account.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- Maintaining the security of your account
- Ensuring that authorized users access the account appropriately
- Ensuring that information provided to Opshiva is accurate
- All activities conducted through your account
You must promptly notify us if you believe your account has been compromised or accessed without authorization.
3. Use of the Services
You may use Opshiva only for lawful business and organizational purposes and in accordance with these Terms.
You must not:
- Use the Services for unlawful activities
- Attempt to gain unauthorized access to the platform
- Circumvent security or authentication mechanisms
- Interfere with the operation of the Services
- Introduce malware or malicious code
- Abuse APIs or system resources
- Reverse engineer or attempt to extract source code except where expressly permitted by applicable law
- Scrape or copy the platform without authorization
- Use the Services to violate another person's rights
- Use the Services to send unlawful, fraudulent, abusive, or deceptive communications
- Use automated systems in a manner that creates unreasonable operational or security risks
We may suspend or restrict access where we reasonably believe that the Services are being misused or that continued use creates security, legal, or operational risks.
4. Customer Content and Data
You retain ownership of the content and data that you submit to Opshiva ("Customer Content"), subject to the rights necessary for us to provide the Services.
Customer Content may include:
- Customer information
- Complaints
- Tickets
- Documents
- Knowledge-base content
- Call recordings
- Transcripts
- Messages
- Business information
- Workflow information
- Other data submitted through the Services
You are responsible for ensuring that you have all necessary rights, permissions, notices, and lawful bases required to provide such information to Opshiva and to process it through the Services.
You authorize Opshiva to process Customer Content as reasonably necessary to provide, secure, maintain, and support the Services.
5. AI-Generated Outputs
Opshiva may use artificial intelligence and machine learning systems to generate responses, summaries, classifications, recommendations, workflow actions, and other outputs.
AI-generated outputs may occasionally be inaccurate, incomplete, outdated, or inappropriate.
You are responsible for determining whether an AI-generated output is appropriate for your intended use.
For high-impact, sensitive, legal, financial, medical, regulatory, or other consequential decisions, appropriate human review should be used.
Opshiva does not guarantee that AI-generated outputs will always be accurate or error-free.
6. Third-Party Services and Integrations
Opshiva may integrate with third-party services, including but not limited to:
- Google services
- Telephony providers
- Cloud infrastructure providers
- AI model providers
- CRM systems
- Helpdesk systems
- Payment providers
- Email providers
Your use of third-party services may be subject to their separate terms and privacy policies.
Opshiva is not responsible for third-party services that are outside our reasonable control.
7. Google Integrations
Where you connect a Google account or Google service to Opshiva:
- You authorize Opshiva to access only the Google data covered by the permissions you grant.
- Opshiva will use that data only to provide the functionality you authorize.
- You may revoke access through the applicable Google account controls.
- Continued use of certain functionality may require continued authorization.
Our handling of Google user data is described in our Privacy Policy and is subject to applicable Google API policies.
8. Subscription, Credits and Payments
Certain Opshiva features may require payment.
Depending on the applicable plan, charges may be based on:
- Subscription fees
- Usage
- AI processing
- Voice minutes
- Communication usage
- Credits
- Setup or implementation services
- Custom development
- Enterprise services
Pricing, credit rates, billing cycles, taxes, and payment terms may be displayed within the platform, website, order form, proposal, or applicable customer agreement.
Unless otherwise stated, fees are non-refundable except where required by applicable law or expressly agreed in writing.
We may suspend paid services where required payments remain overdue.
9. Trial Credits and Promotional Credits
Opshiva may provide trial, promotional, or complimentary credits.
Such credits:
- May have an expiration period
- May be subject to usage restrictions
- May not be transferable
- May not have cash value
- May be withdrawn where reasonably necessary to prevent abuse
The applicable credit terms will be displayed at the time the credits are provided.
10. Intellectual Property
Opshiva and its licensors retain all rights, title, and interest in:
- The Opshiva platform
- Software
- Source code
- Interfaces
- Workflows
- System architecture
- AI orchestration technology
- Platform designs
- Documentation
- Trademarks
- Logos
- Product names
- Proprietary methodologies
- Other underlying technology
These Terms do not transfer ownership of Opshiva's intellectual property to you.
Subject to these Terms and your applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services.
11. Customer Feedback
If you provide suggestions, ideas, recommendations, or feedback about Opshiva, you grant us the right to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.
12. Confidentiality
Each party may receive confidential information from the other party in connection with the Services.
Each party agrees to:
- Protect confidential information using reasonable safeguards
- Use confidential information only for the purposes for which it was disclosed
- Not disclose confidential information except to authorized personnel, service providers, or where required by law
Separate confidentiality or non-disclosure agreements may apply to enterprise customers where agreed.
13. Service Availability
We aim to provide reliable and continuous access to the Services, but we do not guarantee uninterrupted availability.
The Services may occasionally be unavailable because of:
- Maintenance
- Updates
- Security measures
- Infrastructure failures
- Third-party service interruptions
- Internet or telecommunications failures
- Events beyond our reasonable control
Enterprise customers may receive specific service-level commitments under a separate agreement.
14. Security
We implement reasonable technical and organizational measures designed to protect the Services and information processed through them.
However, no online service can guarantee complete security.
You are responsible for maintaining appropriate security practices for your account, users, credentials, integrations, devices, and data.
15. Data Protection
Our collection and processing of personal information is governed by our Privacy Policy.
Where an organization uses Opshiva to process personal information belonging to its customers, employees, citizens, or other individuals, the organization is responsible for determining the appropriate legal and operational requirements for that processing.
Additional data processing agreements may apply to enterprise, government, or regulated customers.
16. Government and Enterprise Deployments
Certain customers may require customized deployment arrangements, including:
- Private cloud
- Customer-controlled infrastructure
- On-premise deployment
- Hybrid deployment
- Customer-managed databases
- Additional security controls
- Custom integrations
- Specific data residency requirements
Such deployments may be governed by a separate agreement, statement of work, security agreement, or service-level agreement.
17. Suspension and Termination
We may suspend or terminate access to the Services if:
- You materially violate these Terms
- Your use creates a security or legal risk
- Required payments remain unpaid
- Your account is involved in fraudulent or abusive activity
- Suspension is required by law
- The Services are discontinued
You may stop using the Services at any time.
Upon termination, access to your account and data may be disabled according to the applicable plan, agreement, retention requirements, and our Privacy Policy.
18. Disclaimers
To the maximum extent permitted by applicable law, Opshiva provides the Services on an "as available" and "as is" basis.
We do not guarantee that:
- The Services will always be available
- AI outputs will always be accurate
- AI responses will always be appropriate
- The Services will be completely error-free
- Third-party integrations will always operate without interruption
- The Services will satisfy every specific business requirement
You are responsible for evaluating AI outputs and configuring appropriate human review and business controls for your use case.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Opshiva and AR Village Technologies Private Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Services.
Where permitted by applicable law, our total aggregate liability arising from the Services will be limited to the amount paid by you to Opshiva for the Services during the [three/six/twelve] months immediately preceding the event giving rise to the claim.
This limitation does not apply where such limitation is prohibited by applicable law.
Enterprise customers may have different liability terms under a separately executed agreement.
20. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Opshiva and AR Village Technologies Private Limited from claims, losses, liabilities, damages, and expenses arising from:
- Your misuse of the Services
- Your violation of these Terms
- Your violation of applicable laws
- Your violation of third-party rights
- Customer Content supplied by you
- Your failure to obtain required permissions or consents
21. Changes to the Services
We may modify, improve, add, or discontinue features of the Services from time to time.
Where a change materially affects an ongoing paid service, we may provide reasonable notice where required.
22. Changes to These Terms
We may update these Terms periodically.
When material changes are made, we may update the "Last Updated" date and provide additional notice where appropriate.
Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
23. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Subject to applicable law and any separate agreement between the parties, disputes relating to these Terms shall be subject to the jurisdiction of the courts of [Patna, Bihar, India].
